ENERGY & NATURAL RESOURCES

The firm has established itself as a reliable player in oil and gas law and constantly provides legal consulting and advisory services on energy matters, joint ventures, tax implications, obtaining necessary consents for assignments of leases, negotiating and preparing gas and petroleum products, sales agreements and related contracts.

We have been involved in farm-in and farm-out transactions and have also participated in the drafting of technical agreements including but not limited to farm-in agreements, financial and technical services agreements

CORPORATE, COMPANY AND COMMERCIAL LAWS

 

The firm advises on all aspects and phases of operations including the following:

  • The choice, structure and registration of corporate entities;
  • Joint venture arrangements;
  • Contract documentation;
  • Procurement of finance; and
  • Sales, acquisitions, reconstructions, mergers and dissolutions.

 We have considerable experience in advising non-Nigerian entities proposing to do business in Nigeria on all aspects of their investment including obtainment of the requisite permits and licenses, taxation, repatriation of funds etc.

The firm's correspondence office in Abuja where all major investment, company registration and regulatory bodies are located ensures an excellent response-time as well as cost savings for clients.

AVIATION 

 

The firm advises on the financing and leasing of aircraft as well as on licensing and all other regulatory matters. It also regularly defends airlines in cargo and other claims.

In 2006, we acted for ADC Airlines Plc. in the negotiation of claims for the Air Mishap that occurred on 26th October, 2006 on the ill-fated Aircraft conveying passengers from Abuja to Sokoto.

It also determined the applicability of the Warsaw Convention as against the Montreal convention as to whether it had been domesticated in Nigeria at the time of the accident.

Presently one of the partners of the firm is representing an aviation company against a leading oil company in a dispute arising out of an Aircraft Services Contract.

One of our partners is also currently appearing in a matter at the Supreme Court representing an International Airline.   

BANKING AND FINANCE

The firm regularly assists and advises banks and other financial institutions on a wide variety of issues including the preparation and perfection of legal documentation such as loan agreements (for both single and syndicated loans), securities sale and acquisition agreements, guarantees and debentures.  

It often advises lenders on the adequacy of security and over the years has been instructed to recover debts for some major banks and financial institutions in the country.

In debt recovery the firm has built a reputation for speedy recovery of debt a lot of times achieving results without going through the hog of litigation if need be concluding the matters summarily.

Our aggressive approach to debt recovery has earned the firm enormous respect with our clients. In 2012, the firm recovered over one Billion naira for our clients.       

INSURANCE AND REINSURANCE

 

The firm has considerable experience in this area of the law.

Our expertise is widely acknowledged and accordingly we receive instructions from a number of leading insurance companies.

We have acted on behalf of a Client against Ingostrakh insurers/reinsurers at Lloyds in aviation claims and litigation.

INTELLECTUAL PROPERTY

 

The firm advises businesses on how best to protect their ideas, concepts, operating plans, etc. It engages in patent and trademark services such as searches, filing, prosecution and opposition.

It advises on commercial contracts that involve licensing, franchising, agency and distribution agreements and also prosecutes and defends infringement cases.

We are regularly instructed by international law firms and multinational companies to conduct searches and register trade marks, patents etc.

Our Managing Partner has represented DSC Publications Limited in a suit at the Federal High Court that had to do with passing off and infringement of its copy right for the popular publication Company and Allied Matters Act Law and Practice.

 

PROPERTY AND REAL ESTATE

The firm acts for clients in various types of property transactions.

 It advises on the lease, sale and acquisition of properties, the obtaining of all necessary government consents and approvals and the negotiation and drafting of all incidental agreements and other transaction documentation.

 It also conducts property litigation, compensation claims and land dispute settlements.

EMPLOYMENT

 

The firm has extensive experience in acting for both employers and employees on such matters as service contracts, redundancies, unfair dismissals, disciplinary and grievance procedures.

Our managing partner has successfully litigated upon several matters up to our superior Courts involving wrongful termination of senior public servants by Government Agencies and Parastatals.  

FAMILY & PROBATE

 

The firm advises on various aspects of estate matters such as wills, succession and intestacies. It also deals with separation, divorce, property settlement, childcare and ward-ship.

The firm has successfully handled numerous dissolution and judicial separation matters and more often than not has been able to convince parties on the need to reconcile before the determination of the matters before the Court.
